1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NDX Computer Systems Trading — FZCO ("NDX Education", "we", "us", "our") governing your access to and use of our website at ndxi.io, our educational technology products, software, services, and any related platforms (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. These Terms apply to all visitors, users, educational institutions, and others who access or use the Services.

3. Description of Services

NDX Education provides educational technology solutions, including but not limited to:

• Interactive classroom hardware and software platforms
• AI-powered educational tools and learning management systems
• Offline educational content delivery solutions
• Teacher training and professional development programmes
• Educational technology consulting and implementation services
• Scalable digital infrastructure for educational institutions

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice to you.

4. Eligibility and Account Registration

By using our Services, you represent and warrant that:

• You are at least 18 years of age or have legal capacity to enter into binding agreements
• You have the authority to bind your organisation, if applicable
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information and update it as necessary

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access to or use of your account.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services. Specifically, you agree not to:

• Use the Services in violation of any applicable UAE or international law
• Attempt to gain unauthorised access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any viruses, malware, or other harmful code
• Harvest or collect personal data about other users without consent
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to infringe intellectual property rights of any party

6. Intellectual Property

All content, software, designs, text, graphics, images, video, information, logos, button icons, software, audio files, and other materials on the Services ("Content") are the exclusive property of NDX Education or its licensors and are protected by UAE and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your internal educational or institutional purposes. This licence does not include any right to resell, redistribute, or create derivative works from the Content.

7. User Content

Where our Services allow you to submit, upload, or transmit content ("User Content"), you retain ownership of any intellectual property rights you hold in that content. By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, and distribute such content for the purpose of operating and improving the Services.

You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate the rights of any third party or applicable law.

8. Payment and Subscription Terms

Certain Services may be subject to payment or subscription terms, which will be communicated to you at the point of purchase or engagement. All fees are quoted in the currency specified and are exclusive of applicable taxes unless otherwise stated.

Payment terms, refund policies, and cancellation procedures will be set out in the applicable order form, quotation, or service agreement. Unless otherwise agreed, all invoices are payable within 30 days of the invoice date.

9. Confidentiality

Each party agrees to hold and maintain all Confidential Information of the other party in strict confidence and not to disclose such information to any third parties except as necessary to perform its obligations under these Terms or as required by law. "Confidential Information" means any information disclosed by one party to the other that is marked as confidential or would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NDX Education and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Services
• Any conduct or content of any third party on the Services
• Any unauthorised access, use, or alteration of your transmissions or content
• Any other matter relating to the Services

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim, or AED 5,000, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless NDX Education and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services, your violation of any provision of these Terms, or your violation of any third-party right.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC).

The seat of arbitration shall be Dubai, United Arab Emirates. The tribunal shall consist of a sole arbitrator. The language of arbitration shall be English.

Notwithstanding the above, either party may seek urgent interim or conservatory relief from the courts of Dubai before the constitution of the arbitral tribunal.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, flood, epidemic, pandemic, strike, or government action.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and NDX Education regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, whether oral or written.
